1. Corporate Entity Incorporation (under MCA)

  • Private Limited Company: minimum 2 directors and 2 shareholders; the most popular entity, best for startups, funded and scalable businesses
  • Limited Liability Partnership (LLP): minimum 2 designated partners, registered through the FiLLiP form; the flexibility of a partnership with limited liability like a company
  • One Person Company (OPC): corporate status for a single entrepreneur (1 director plus 1 nominee)
  • Section 8 / Public Limited / Nidhi Company: for social welfare and NGOs, or for running business on a large scale

2. Statutory Registrations & Tax Compliance

  • GST Registration: mandatory when turnover crosses ₹40 lakh (goods) or ₹20 lakh (services), or for inter-state supply, e-commerce selling and reverse charge. Covers single-state and multi-state GSTINs and adding an Additional Place of Business (APOB). Application in Form REG-01 with ARN generation
  • EPF (Provident Fund): mandatory with 20 or more employees (voluntary below 20), through the Shram Suvidha / EPFO portal
  • ESI (Employees’ State Insurance): medical coverage registration for establishments with 10 or more employees (20 in some states) and staff earning gross salary up to ₹21,000 per month
  • Note: for new companies incorporated through SPICe+, EPFO and ESIC registration numbers are issued along with incorporation

3. Business Recognition & Government Schemes

  • MSME / Udyam Registration: government recognition for micro, small and medium enterprises
  • Benefits: lower interest on bank loans, collateral-free credit, preference in government tenders, delayed payment protection under the MSMED Act (45-day payment rule) and concessions on trademark and other IP fees
  • Eligibility: based on statutory criteria of investment in plant and machinery and annual turnover
